UpOffr

Trust-first financing marketplace

Financing opportunities. Competing offers. One secure workspace.

UpOffr connects borrowers seeking financing with verified lenders ready to compete for qualified opportunities. Create a request, compare offers clearly and manage the process from initial interest through closing.

UpOffr is a marketplace and workflow platform. Financing decisions and terms are determined by participating lenders.

How it works

How UpOffr Works

The same request, seen from both sides.

For Borrowers

  1. Step 1: Create your financing request

Provide the financing details and supporting documents lenders need to evaluate the opportunity.

  2. Step 2: Receive and compare offers

Review available offers side by side, including rate, term, fees, estimated payment, closing time and lender conditions.

  3. Step 3: Choose how to proceed

Shortlist lenders, request Best & Final Offers and select the offer that best fits your needs.

  4. Step 4: Manage the deal in one place

Exchange messages and documents, track required items and monitor progress toward closing.

For Lenders

  1. Step 1: Create and verify your lender profile

Submit your organization and representative information for review.

  2. Step 2: Review relevant opportunities

Browse the published requests you have access to, filter them or save a search. Your credit box decides which new requests you are notified about, not what you can see.

  3. Step 3: Submit a clear offer

Provide the proposed rate, term, fees, payment, closing timeline and applicable conditions.

  4. Step 4: Move selected deals toward closing

Communicate with the borrower, request documents and track outstanding requirements.

Verification and trust

Trust starts before an offer is accepted.

UpOffr uses account verification, role-based access and administrative review to help protect marketplace participation. Borrowers and lenders may be required to provide identity, business and transaction information before accessing certain features or advancing a deal.

  • Email and account verification

Confirming the address an account was opened with.

  • Borrower or lender profile completion

Tracked against a checklist an administrator configures, and shown as a completeness figure.

  • Identity and business information review when required

Submitted for review, with the outcome recorded by an administrator.

  • Access requirements for restricted actions

Requirements can be attached to specific actions — publishing a request, submitting an offer — and applied when enabled.

  • Consent and agreement records

Each acceptance is stored with the document version, a checksum of the exact wording shown, and when and from where it was given.

  • Permission-based access to requests and deals

Enforced in the database on every read, not by hiding controls in the interface.

Verification helps reduce risk but does not guarantee a participant’s identity, creditworthiness, performance, funding ability or the completion of a transaction. Users should perform their own legal, financial and due-diligence review.

What each side is protected by

Guarantees you can check, not badges.

A new marketplace has no track record, so “trust us” is worth nothing. What follows are properties of how UpOffr is built — the kind of statement you can hold the product to, and one that using it would disprove if it were false.

What protects a borrower

  • Lenders compete without seeing each other

No lender can read another lender’s offer, counteroffer, Best & Final submission, messages or documents — not the terms, and not who the other lenders are.

  • Nothing is ranked behind your back

The comparison names the best value on each term separately and never produces a single score. The right weighting between a lower rate and a faster close is yours, and any weighting imposed here would be a guess presented as an answer.

  • Agreed terms cannot be quietly edited

Accepting an offer freezes the terms. A later change is a new record the other side has to accept, the original stays exactly as it was, and the deal shows that it was re-traded.

  • A track record is withheld rather than invented

A lender with too little history shows a plain label instead of a figure. “100% completed” from a single deal, or “0%” from none, would be a lie told by arithmetic.

What protects a lender

  • Your pricing stays yours

Your terms are visible to the borrower and to nobody else. You can see that a request is being competed for without learning who else is bidding.

  • A Best & Final round is blind

Invited lenders cannot see who else was invited, how many were, or what anyone else submitted. A submitted final offer is locked.

  • Conduct is on the record for both sides

Re-trades after a handshake, cancellations and outstanding items are visible on the deal. Withdrawal rates are counted for lenders and borrowers alike.

  • Documents stay access-controlled

Files are held in private storage and served through the application, which re-checks who you are on every request. There is no permanent link to a document.

A badge only ever reflects a real result

Verification status is written from a provider’s answer. The database refuses to record a verified status backed by a placeholder, so a badge can never be manufactured — including by an administrator.

Important actions are recorded and cannot be rewritten

Offers, acceptances, stage changes, document access and administrative decisions are appended to a history that cannot be edited or deleted afterwards.

These describe how the platform handles information and records activity. They are not a guarantee about any participant’s creditworthiness, funding ability or conduct, and they do not replace your own due diligence.

Privacy and anonymous borrower mode

Control what lenders see.

Eligible borrowers can present an opportunity without immediately displaying personally identifying information to every marketplace participant. Additional information can be shared as the process advances and access is authorized.

What anonymous mode does

It limits what a lender can see about who you are while they are pricing the opportunity, so competition happens on the deal rather than on your name. You decide when to reveal, and to whom.

What it does not do

It does not make a transaction anonymous. Required information may need to be disclosed for verification, underwriting, due diligence, compliance and closing — and a deal cannot be completed against an unnamed counterparty.

Anonymous mode limits initial visibility. It is not confidentiality from your counterparty once a deal is under way, and it does not remove any legal or regulatory obligation to identify yourself.

Comparing offers

Compare more than the interest rate.

UpOffr organizes important offer terms in one place so borrowers can evaluate the complete proposal — not only the advertised rate.

Illustrative example — not an actual financing offer

  • Sample Lender A

    Interest rate
    7.25%
    Loan term
    60 months
    Lender fees
    $8,500
    Estimated monthly payment
    $9,960.24
    Expected closing time
    30 days
    Conditions and documentation
    2 conditions
  • Sample Lender B

    Interest rate
    6.90%
    Loan term
    60 months
    Lender fees
    $14,000
    Estimated monthly payment
    $9,872.11
    Expected closing time
    45 days
    Conditions and documentation
    4 conditions
  • Sample Lender C

    Interest rate
    7.40%
    Loan term
    72 months
    Lender fees

    Estimated monthly payment
    $8,614.03
    Expected closing time
    38 days
    Conditions and documentation
    1 condition

Illustrative example — not an actual financing offer. The lenders, rates, fees and payments above are invented to show how the comparison is laid out. Offers on UpOffr are submitted by participating lenders, and their terms are set by those lenders.

Best & Final offers

A structured final round.

Borrowers can shortlist selected lenders and invite them to submit a Best & Final Offer by a stated deadline. Final offers can then be compared in a consistent format before the borrower chooses how to proceed.

Inviting, submitting or selecting an offer does not itself guarantee approval, funding or closing. Final terms remain subject to the lender’s review, documentation, conditions and applicable agreements.

Deal readiness and closing

Know what is still needed.

Deal Readiness helps participants see completed requirements and clearly identifies outstanding documents, conditions and actions.

  • Private messaging between the two parties to a deal
  • Document requests, uploads and review
  • Checklists of outstanding conditions and actions
  • Stage tracking from acceptance through closing

Deal Readiness is a workflow indicator — not a credit decision, approval, legal determination or guarantee that the transaction will close. UpOffr does not hold funds, provide escrow services or process live transfers.

Questions

Frequently asked questions

What is UpOffr?

UpOffr is a marketplace and workflow platform. Borrowers describe a financing need once; participating lenders review it and submit offers; the borrower compares those offers and works with the lender they choose through to closing. UpOffr does not lend money and does not decide who is approved.

Who can use UpOffr?

Borrowers seeking business or commercial financing, and lenders who fund it. You choose your role when you create an account, and that role decides what you can see and do. Eligibility for particular features can additionally depend on the information on your profile and on the requirements an administrator has enabled.

How are borrowers and lenders verified?

Accounts begin with email confirmation and profile completion. Identity and business information can be submitted for review, and an administrator can record the outcome. Requirements can be attached to specific actions — such as publishing a request or submitting an offer — and applied when enabled. Verification reduces risk; it does not guarantee anyone’s identity, creditworthiness, funding ability or performance, and it is not a substitute for your own due diligence.

What information can lenders see?

A lender sees the financing request they have been given access to, and their own activity on it. They do not see any other lender’s offer, counteroffer, Best & Final submission, messages or documents — not the terms, and not who the other lenders are. That boundary is enforced by the database, not by hiding controls in the interface.

How are opportunities matched to lenders?

You describe what you lend on — financing type, collateral, states, new financing or refinance, a deal-size range and a term range. That is your credit box, and it is private to you.

It decides what you are told about. When a borrower publishes a request, lenders whose stated criteria it fits are notified. It does not decide what you can see: the opportunities board lists the requests you have access to, and you can filter it yourself or save a search to return to.

On any request you can see which of your criteria it meets and which it falls outside, named one by one — never a match score. “$12,000,000 exceeds your maximum of $9,000,000” is something you can act on; “no match” is not. If you have not set a credit box, UpOffr tells you plainly that you will not be matched, rather than leaving you to wonder why nothing arrives.

Borrowers see how many lenders’ criteria a request matched. They never see which lenders, and the platform has no way to tell them — publishing a request cannot be used to enumerate who lends here.

What is a Best & Final Offer?

A structured final round. The borrower shortlists lenders, sets a deadline, and invites each to submit one final offer. A submitted Best & Final is locked and cannot be revised. Invited lenders cannot see who else was invited, how many were, or what anyone else submitted.

Does creating a request guarantee financing?

No. Publishing a request makes it available to lenders on the platform. Whether any lender chooses to offer, and on what terms, is entirely their decision. A request may receive several offers, one, or none.

Does selecting an offer guarantee closing?

No. Accepting an offer records the agreed terms and opens a shared workspace for the two parties. Closing still depends on documentation, conditions, the lender’s own review and the agreements between you. Either side can also propose a change to the accepted terms, which the other has to accept before anything changes.

Does UpOffr determine the interest rate?

No. Rates, fees, terms and conditions are set by the lender submitting the offer. UpOffr organises and displays them so they can be compared consistently, and does not price, rank by a hidden score, or take a position on which offer is better.

How are documents and messages handled?

Documents are held in private storage and served through the application, which re-checks who you are and what you are entitled to on every request — there is no permanent public link to a document. Messages sit in a private thread between the two parties to a request. Neither is visible to other lenders.

What does Deal Readiness mean?

It is a progress indicator. It shows which requirements have been met and names the documents, conditions and actions still outstanding, so both sides can see what is holding a deal up. It is not a credit decision, an approval, a legal determination, or a prediction that the transaction will close.
